You can use the existing ECU and wires, providing you keep all of the same electrical parts.
As you'll be making a 3.0 I assume, you may want to think about 328 injectors and a 328 ECU which will give you the extra room for power.

    I didn't think you'd have 4 O2 sensors on a '96, they were usually seen on 98 cars with MS42 ecus.

As for using M54B30 injectors, unless they are the same as the usual 328/528 ones, you will be needing a custom remap to recalibrate everything.

The sump will fit yes, you will need the oil pick up also obviously.

    M50 sump RealOEM.com * BMW E36 325i OIL PAN/OIL LEVEL INDICATOR

    M52 RealOEM.com * BMW E39 523i OIL PAN/OIL LEVEL INDICATOR

Notice the sump gaskets have the same part number.

And yes the car will start but probably run a bit rough!

A 528 ecu should be able to handle it without problems.
It has the same size MAF as the US M3 3.0, and the 2.8 injectors are already larger that US M3 injectors, so it will be able to supple enough fuel.
