The manifold you'd need for that is from an E46 330i, and it does need an adaptor plate to fit your original throttle into it.

M50 Throttle Body to M54 E46 325 Intake Manifold - Adapter Plate - Turner Motorsport

It's not rocket salad, if you could find some engineering place they could make one up.
The difference is the fully electronic M54 throttle has different bolt holes to the M52TU (electronic, but has a normal cable running to it)
Your throttle then sits on at a bit of an angle.

Perfect, something like a 5-6mm packer would do it.

They are different designs, the MS42 has a normal accelerator cable running to it, and the MS43 (330I) is fully electronic controlled direct by the ECU.

You should just be able to bolt it on by itself and not need to make any changes.
I'd do a quick bit of research first though, make sure a 330i manifold is the correct compatible one for an E46 323i, it should be, but I can't remember the exact differences, and which car had which manifold, but I have a feeling it was 330i would be fine for 323 and 328i E46s.
You should get circa 10-15bhp just by bolting it on.
